Welcome to Curve. On a mission to help you live inspired.

As Company Secretarial Manager you will have an exciting opportunity to deliver the governance framework and processes at Curve as we continue on our growth journey.

Reporting to the CEO & Founder, you will ensure that statutory compliance and good governance are best in class. You will scale the company secretarial function so it can serve Curve as it expands. You’ll have a platform to take the initiative and challenge where you think things could be done better.

Key Accountabilities:

  • Provide company secretarial advice and support to all Curve group entity Boards.
  • Assist with board and committee meetings for all group companies - including setting cadence, optimising board packs, drafting minutes or running board communications.
  • Maintain statutory books and records and support completion and filing of the annual report, confirmation statement and accounts.
  • Support the Finance team with the annual audit process, including drafting sections of the annual report.
  • Work with the CEO & Founder to make sure the company’s governance framework constantly develops to ensure the right people have the right information at the right time to make good decisions - keeping pace with Curve’s fast growth and expansion plans.
  • Work with the CEO & Founder to develop strategies for improving communications and relationships with investors and shareholders.
  • Coordinate and work with internal stakeholders to provide regular updates to investors and shareholders and respond to ad hoc queries from them.
  • Support Curve’s share option plan and ensure the equity management platform is kept up to date.

Skills & Experience:

  • Qualified company secretary, ideally with 4+ years of experience (financial or payments sector experience preferred but not essential).
  • Experienced in implementing new processes and technology, ideally in a growth stage company.
  • Demonstrated board level experience and knowledge of board support and corporate governance requirements within an international group of companies.
  • Understand the UK’s corporate governance and Companies Act requirements and strong technical knowledge of the practical application of those requirements. A familiarity with comparable requirements in other jurisdictions is valuable but not essential.
  • Demonstrated ability to build strong relationships (internal and external), especially with senior management and board members.
  • Excellent communication skills, both oral and written, and be comfortable operating in a fast-paced environment with many competing demands on your time.
  • Desire to work in a fast-paced environment who is confident in managing changing priorities and workload, and delivering to a high standard. If you are looking for a new challenge or an opportunity to move in-house, this role will provide you with an opportunity to thrive as a governance professional.
  • Possess the values and traits to excel with our Leadership Principles. We’re looking for an individual who’ll not only fit into that team, but will bring new ideas, challenge us and roll up their sleeves when needed.
  • Resourceful and able to think on your feet, be prepared to be challenged and happy to lend your skills to help in all areas of the business - boring this role is not. If you think you’d enjoy that, come and let us know why!
